Terms of service

These Terms of Service ("Terms") govern access to and use of carrierpulse.com, the Carrier Pulse web application, and the Carrier Pulse mobile application (collectively, the "Service"), provided by Carrier Pulse, LLC ("Carrier Pulse," "we," "us," or "our"). By accessing or using the Service, you ("you," "your," or "Customer") agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. The service
Carrier Pulse provides software for organizing, storing, and tracking driver, vehicle, and fleet compliance documents, including expiry alerts and QR-code-based document verification for roadside inspections.
Carrier Pulse is a recordkeeping and alerting tool. It does not constitute legal, regulatory, or compliance advice. Responsibility for actual regulatory compliance — including but not limited to Department of Transportation (DOT) requirements, Federal Motor Carrier Safety Administration (FMCSA) regulations, and any applicable state or federal law — remains solely with you. Carrier Pulse does not guarantee that use of the Service will result in compliance with any law or regulation, and you are responsible for independently verifying your compliance obligations.
2. Accounts
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account, including accounts of drivers or employees you add to your company's account.
You must notify us promptly of any unauthorized use of your account.
3. Your content and data
You retain ownership of all documents, data, and information you or your drivers upload to the Service ("Customer Data"). You grant Carrier Pulse a limited license to store, process, and display Customer Data solely as necessary to provide the Service to you.
You represent that you have the right to upload any Customer Data you submit, and that doing so does not violate any law or the rights of any third party (including your drivers' privacy rights, where applicable — you are responsible for having appropriate authorization to upload driver information).
Upon termination of your account, you may export your Customer Data for a reasonable period before it is deleted, as described in Section 8.
4. Subscriptions and billing
Access to paid features of the Service is billed according to the subscription plan you select at signup or as otherwise agreed in a separate order form or agreement.
- Subscriptions renew automatically for the same term unless cancelled before the renewal date.
- Fees are billed in advance and are non-refundable except as required by law or as otherwise stated in a separate agreement.
- We may change subscription pricing with at least 30 days' notice before your next renewal.
- You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access through that period.
- Failure to pay may result in suspension or termination of your access to the Service.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Upload malicious code or attempt to compromise the security of the Service
- Attempt to access data belonging to another company or user without authorization
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law
- Use the Service to store or transmit content that infringes the intellectual property or privacy rights of any third party
- Resell, sublicense, or provide access to the Service to any third party without our prior written consent
6. QR code access feature
The Service includes a feature allowing third parties (such as DOT inspectors) to view specified compliance documents by scanning a QR code, without requiring a login. You are responsible for configuring which documents are visible through this feature and understand that documents made accessible this way can be viewed by anyone who scans the code. Carrier Pulse is not responsible for how a third party uses information obtained through a QR code scan.
7. Service availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances outside our reasonable control. We will make reasonable efforts to provide advance notice of planned maintenance where practical.
8. Termination
You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service (with reasonable notice where practical).
Upon termination, you will have 30 days to export your Customer Data. After this period, we may delete Customer Data from our systems, except where retention is required by law or by applicable DOT recordkeeping requirements.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
CARRIER PULSE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL ENSURE YOUR COMPLIANCE WITH ANY LAW OR REGULATION. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING YOUR OWN REGULATORY COMPLIANCE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIER PULSE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CARRIER PULSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL CARRIER PULSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING BUT NOT LIMITED TO ANY REGULATORY FINE, PENALTY, OUT-OF-SERVICE ORDER, OR OTHER CONSEQUENCE RESULTING FROM A COMPLIANCE FAILURE, WHETHER OR NOT CARRIER PULSE WAS AWARE OF THE RISK OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless Carrier Pulse from any claims, damages, or expenses arising from your violation of these Terms, your violation of any law or regulation, or Customer Data you upload to the Service.
12. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by additional notice (such as email or an in-app notification). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Minnesota.
